Can someone tell me the difference between buying this

http://www.novatech.co.uk/novatech/spec ... PR-CD28478 (http://www.novatech.co.uk/novatech/specpage.html?PR-CD28478)

and buying a retail version, is it simply the addition of the fan and heatsink which if a new one is required costs you £3 roughly?

Correct ;)

The OEM is just the CPU on its own

Retail is usually boxed with Heatsink and Fan etc etc

So as long as my heatsink looks ok and the fan works just buy that one I linked.

And possibly warranty - most oem items ship with a 1 year warranty, but retail often ship with more (ie AMD opterons, oem are 1 year, reatil are 3 year)

Not entirely sure about celeryons though.
